ARTICLE IV-OFFICERS

 

Section 1.  The officers of the Association shall be a President, President-Elect, Secretary, and Treasurer.

Section 2.  Term of office:        

President                      1 year

President-Elect          1 year(succeeding to President)

Secretary                      1 year

Treasurer                     1 year

Section 3. Election of officers:

(a)    Election will be on the first regular meeting of each year on the third Thursday of the month of January.

(b)   The officers shall be elected by a majority of votes cast by those members present at that meeting of the Association providing a quorum of no less than 25 members.

(c)    The Nomination Committee shall make nominations, but any member may make other nominations from the floor.

(d)   The method of voting shall be by secret written ballot.

(e)    If a quorum is not presented at the first meeting at which an election of officer or officers is to be held, then a simple majority of members at the business meeting next following will constitute a quorum.

Section 4.  Each officer shall take office immediately following the elections.

Section 5.  In the event of a vacancy in any office, the President shall direct the Nomination Committee to proceed as follows: the committee shall report on nominations at the first regular meeting of the Association following said vacancy or vacancies. The election to fill such a vacancy or vacancies shall be held at the regular meeting and immediately following the report of the Nomination Committee in the manner as provided by these bylaws.  Officer or officers so elected shall immediately assume the duties of such office or offices and fulfill such duties until the expiration of the term.

ARTICLE V-DUTY OF OFFICERS

Section 1. PRESIDENT.  The President shall preside at all meetings of the Association and shall have the power to appoint committees, as he/she deems necessary.  He/She may call special meetings of the Association as necessary.  He/She will serve as the Chairperson to the Executive Committee.  He/She shall be responsible for publicity and public relations.

Section 2. PRESIDENT-ELECT.  The President-Elect shall perform the duties of the President in his/her absence. The President-Elect shall be the Chairperson of the Program committee and issue notices to all members of all meetings.

Section 3.  SECRETARY.  The Secretary shall record the minutes of all meetings and maintain a permanent record, keep al records of the Association, handle correspondence for and on behalf of the Association, and duties as the President directs.

Section 4.  TREASURER.  The Treasurer will be custodian of the dues and assessments will be responsible for the collection of it for all Association functions and will maintain permanent records.

ARTICLE VI-COMMITTEES & DUTIES

Section 1.  COMMITTEE MEMBERSHIP.  A Chairperson for each committee shall be appointed by the President or as specified by the Bylaws.  The Chairperson shall be responsible for planning and executing the assigned function subject to the approval of the Executive Committee.  A detailed written proposal shall be submitted to the Executive Committee for approval at least 60 days prior to the function.  A majority of members of any committee will constitute a quorum at any of its meetings.

Section 2.  PERMANENT COMMITTEES

(a)     Executive Committee. There shall be an Executive Committee of the Association consisting of the President to serve as Chairperson, President-Elect, Secretary, Treasurer, the last retiring President, Chairperson of the Membership Committee and one member of the Association to be appointed by the President.  The Executive Committee shall conduct the business of the Association and shall approve all applications for membership after investigation and report by the Membership committee.

(b)    Membership/Directory Committee.  To increase membership, to investigate the qualifications of applicants for membership, and report recommendations thereon to the Executive Committee.  To maintain a database of all members, prepare an annual update for the directory and handle membership renewal notices.

(c)     Program Committee.  (Chairperson:President-Elect)  To arrange programs that will address the many phases of claims work and provide notice to all members of the upcoming meetings.

(d)    Nomination Committee.  (Chairperson:Past President; Committee shall have not less than three members.  To secure a list of qualified and willing candidates for open positions of the Association. To be responsible for preparation, distribution, collection, and counting of ballots for all elections.

(e)     Audit Committee. To acquire the Associations financial records from the retiring Treasurer, review it for proper accounting procedures. To close the records for the preceding calendar year;report and make appropriate recommendations to the Executive Committee; and forward the records to the incoming Treasurer; all during the month of the election.

(i)       Fall Seminar Committee

Section 3. The President shall appoint additional temporary committees as deemed necessary and advisable.
